1. Seller identity

The YEDART site is published and operated by RAMO CONSULTING SARL, a limited liability company under Moroccan law (22 Rue Abbas Messaadi, Office 16, Ville Nouvelle, Fès, Morocco — RC 63869 / Fès — ICE 002596943000056 — share capital: 100,000 MAD).

The contractual seller of the products sold on the site is YEDART LLC, Domestic Limited Liability Company incorporated in New Mexico (United States) — EIN 98-1949120 — headquarters: 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States.

Customer service: sav@yedart.com.

In these General Conditions of Sale, “YEDART” designates the brand and the commercial activity; unless otherwise specified, the seller within the meaning hereof is YEDART LLC.

YEDART LLC is the contractual seller of the products marketed on the YEDART site. Payments are collected via Stripe on behalf of YEDART LLC; Billing and refunds are issued in the name of YEDART LLC.

The artisans, workshops and cooperatives involved in the manufacturing of the products are producers and partners and are not the contractual sellers with the Customer, unless expressly indicated otherwise.

2. Purpose and scope

These General Conditions of Sale, hereinafter the “CGV”, govern the sales of artisanal products carried out remotely by YEDART LLC under the brand YEDART to consumers acting for non-professional purposes.

Sales made to professionals, including boutiques, hotels, architects, decorators, distributors or companies, may be subject to separate quotes, commercial conditions or B2B contracts.

Any order placed on the site implies that the Customer has been able to read these General Terms and Conditions and accept them before definitively validating their order.

3. Artisanal nature of the creations

YEDART selects and markets creations made by artisans, workshops and cooperatives, mainly in Morocco.

Artisanal manufacturing implies that each creation can present certain characteristics specific to manual work. Slight variations in color, texture, grain, design, weaving, patterns, dimensions or finishes may thus appear between two handmade creations or between a creation and the photographs presented on the site.

When a particular tolerance of dimensions or characteristics is applicable to a product, this is specified on its product sheet.

These particularities inherent to artisanal manufacturing cannot, however, allow YEDART to waive the Customer's legal rights in the presence of a product that is actually damaged, defective or does not conform to the essential characteristics agreed upon when ordering.

4. Made-to-order production model

YEDART operates primarily on a Made-to-Order model.

Unless otherwise indicated on the product sheet, manufacturing of the creation begins after confirmation of the order.

YEDART does not systematically constitute stocks of finished products.

Certain creations may exceptionally already be available from the craftsman or cooperative. Their availability is then indicated on the site, subject to final confirmation.

5. Standard made-to-order and personalized products

5.1 Standard made-to-order product

This is a creation manufactured after the Customer's order, in accordance with a model, dimensions, colors or standard characteristics offered in the YEDART catalog.

The mere fact that a product is manufactured after the order does not mean that it constitutes a personalized product.

5.2 Bespoke / personalized product

This is a creation manufactured according to particular specifications expressly requested by the Customer and not simply corresponding to the standard characteristics offered in the catalog.

  • dimensions specifically requested by the Customer;
  • particular association of colors;
  • specially requested pattern;
  • inscription, initials or personal element;
  • particular material or finish;
  • significant modification of an existing model;
  • creation specially designed according to the Client's instructions.

The personalized nature of the product is indicated to the Customer before the final validation of his order.

6. Product information

YEDART takes the greatest care in the descriptions, photographs, dimensions, materials, techniques, origins and other essential characteristics presented on the site.

Photographs are provided to represent the creations as faithfully as possible. However, the settings and characteristics of the screens as well as the nature of the materials and the craftsmanship may lead to slight differences in the perception of colors or textures.

The essential characteristics presented on the product sheet and those expressly agreed upon when ordering constitute the contractual reference.

7. Prices

The applicable price is that displayed to the Customer at the time of their order.

The applicable currency is indicated on the site.

Before final validation and payment, the Customer is informed of the total amount due to YEDART, including the price of the products as well as delivery costs and taxes collected directly by YEDART when these are applicable and calculable at this stage.

No optional supplement can be added without prior information and agreement from the Customer.

8. Customs duties and import taxes

Orders delivered outside Morocco may be subject to customs formalities, customs duties, import taxes or other levies provided for by the country of destination.

The site specifies, before final validation of the order, when applicable, whether import duties and taxes are included in the amount paid to YEDART or may be claimed separately from the Customer in the country of destination.

When these costs cannot reasonably be calculated by YEDART in advance, the Customer is clearly informed of the possibility that additional costs may be payable.

9. Order process

Before validating his order, the Customer has the possibility of checking the following essential information:

  • product designation and essential characteristics;
  • standard or custom character;
  • quantity ;
  • price ;
  • delivery costs;
  • any reported taxes or fees;
  • Delivery address ;
  • manufacturing and/or delivery time communicated;
  • total amount due.

The Customer may correct the information provided before final validation. It is his responsibility to verify the accuracy of his contact details, in particular his identity, address, telephone number and email address.

10. Acceptance of the GTCS and payment obligation

Before the final validation of his order, the Customer must accept these General Terms and Conditions by means of a dedicated box which must not be pre-checked.

The button allowing you to finalize the order must clearly and unambiguously indicate that the order entails a payment obligation.

Final validation constitutes a manifestation of the Customer's desire to order the selected products and pay the amount announced.

YEDART keeps the version of the General Terms and Conditions applicable at the time of the order as well as electronic proof of their acceptance.

11. Order confirmation

After validation of the order and confirmation of payment, the Customer receives a confirmation electronically on a medium allowing him to keep the information relating to the order.

This confirmation includes in particular the essential elements of the order and allows the Customer to maintain the conditions applicable to their purchase.

YEDART may contact the Customer when information essential to manufacturing or delivery requires confirmation.

12. Payment

Payment is made using the payment solutions offered on the site.

Electronic payments are processed by payment providers selected by YEDART.

YEDART must not receive or retain complete bank card data when these are directly processed by the payment provider according to the technical architecture chosen.

The manufacture of a Made-to-Order product is only undertaken after effective confirmation of payment, unless otherwise agreed in writing.

13. Payment security

RAMO CONSULTING and its technical service providers implement appropriate measures within their scope in order to secure transactions and payment integrations used by YEDART.

The Customer must also ensure that the confidentiality of the information and means of payment for which he is responsible is preserved.

14. Production and delivery times

Each creation may require a different manufacturing time, the product sheet indicates the applicable or estimated production or delivery time.

For Made-to-Order orders, the Customer is informed before payment that the creation must be manufactured.

When the total agreed period is greater than thirty days, this must be clearly presented to the Customer before the conclusion of the contract.

Validation of the order implies acceptance of the delivery time expressly indicated for the product concerned.

YEDART informs the Customer as soon as possible when an event is likely to cause a significant delay.

The mandatory rights enjoyed by the consumer in the event of delay remain applicable.

15. Quality control

Before shipping a product made to order, YEDART organizes or arranges for an inspection relating, depending on the nature of the creation, to general conformity with the order, the main dimensions, the materials and essential characteristics, the finishes, the condition of the product before shipment and any particular specifications of the Customer.

The control takes into account the artisanal nature of the creation and the tolerances announced on the product sheet.

16. Delivery

The order is delivered to the address provided by the Customer.

The Customer must provide a complete and accurate address as well as any information reasonably necessary for delivery.

When YEDART chooses the carrier, YEDART remains responsible to the consumer for the proper execution of its contractual obligations under the conditions provided for by applicable law.

The risk of loss or damage is not transferred to the consumer before the time provided for by the mandatory rules applicable to him.

17. Receipt and damaged goods

When the package shows visible damage, the Customer is invited to report it to the carrier when possible and to contact YEDART quickly.

To facilitate the processing of the complaint, YEDART may request photographs of the package and the product, the order reference and a description of the problem.

The absence of immediate reporting cannot, however, remove a mandatory legal right of the consumer.

18. Right of withdrawal

18.1 Customers under Moroccan law

For distance contracts to which Moroccan consumer law grants a right of withdrawal, the consumer has in principle a period of seven (7) days from receipt of the good to exercise this right.

When the supplier has not confirmed in writing the required information under the conditions provided for by the regulations, the deadline may be extended to thirty (30) days.

In the event of a valid exercise of the right of withdrawal, YEDART reimburses the total amount paid within the period provided for by the applicable Moroccan regulations, which is notably presented in the Consumer Guide as a maximum period of fifteen (15) days following the exercise of the right.

18.2 Consumer customers in the European Union

When European consumer protection rules are applicable to the sale, the Customer has in principle a period of fourteen (14) days from the day on which he himself, or a third party he has designated other than the carrier, takes physical possession of the product, to notify YEDART of his decision to withdraw.

The decision may in particular be communicated by an unequivocal declaration addressed to customer service YEDART. The Customer is not obliged to use the standard withdrawal form.

18.3 Return after withdrawal — EU consumers

After notification of withdrawal, the Customer must return the product within the applicable legal deadlines. Unless otherwise indicated by YEDART or different legal obligation, direct return costs may remain the responsibility of the Customer when the latter has been correctly informed before ordering.

For products which, due to their size, weight or nature, cannot normally be returned by ordinary post, YEDART communicates to the Customer before ordering the cost of the return or a reasonable estimate of this cost when it cannot be precisely calculated in advance.

18.4 Refund in case of withdrawal — EU consumers

When a right of withdrawal is validly exercised, YEDART reimburses the sums due in accordance with the applicable regulations.

For consumers in the European Union, reimbursement occurs in principle no later than fourteen days after YEDART has been informed of the withdrawal decision. YEDART may however, where permitted by law, defer reimbursement until recovery of the product or until presentation by the Customer of proof of shipment, whichever comes first.

The reimbursement includes, when European regulations are applicable, the standard delivery costs initially invoiced, excluding any additional costs resulting from the Customer's choice of a more expensive delivery method than the cheapest standard method offered by YEDART.

19. Personalized products — exception to the right of withdrawal

When a product is made according to the Customer's particular specifications or is clearly personalized, the right of withdrawal may be excluded under the conditions provided for by applicable legislation.

This exclusion concerns in particular creations actually made according to dimensions, colors, patterns or other specific characteristics chosen by the Customer outside the standard characteristics of the catalog.

The fact that a product is simply manufactured after the order is not enough, in itself, to make it personalized.

When an order is legally considered personalized, YEDART clearly informs the Customer before payment.

The absence of a right of withdrawal for a personalized product never deprives the Customer of his rights when a product is defective, damaged or does not correspond to the agreed specifications.

20. Practical return arrangements

Before any physical return of a product, the Customer is invited to contact YEDART in order to receive return instructions adapted to the product and its country of delivery.

The product must not be returned directly to a craftsman or cooperative without instructions from YEDART.

The return logistics address may be different from the RAMO CONSULTING head office.

This organizational procedure cannot have the effect of limiting a legal right of the consumer.

E-mail retour : sav@yedart.com

21. Handling of returned goods

When applicable law so provides, the Customer may be held responsible for a reduction in the value of the product resulting from manipulations going beyond those necessary to establish its nature, characteristics or proper functioning.

This rule cannot be applied to the detriment of the Customer's legal guarantees and other mandatory rights.

22. Defective, damaged or non-conforming goods

The Customer who receives a defective, damaged product or one that does not correspond to the essential characteristics of his order must contact YEDART.

After analysis of the file and depending on the situation and the applicable law, YEDART may propose in particular a repair, a return to conformity, a replacement, a new manufacture, a reduction in the price or a refund.

Normal variations expressly announced and inherent to artisanal manufacturing do not necessarily constitute non-conformity.

On the other hand, a substantial difference from the agreed characteristics cannot be justified solely by the artisanal nature of the piece.

No clause in these General Terms and Conditions removes the mandatory legal guarantees applicable to the Customer.

23. Exceptional unavailability

In the exceptional case where a creation announced as already available from a craftsman is ultimately no longer available, YEDART promptly informs the Customer.

YEDART does not substitute a different product without the Customer’s agreement.

The Customer may in particular choose, depending on the possibilities offered and the applicable law, an alternative product which he expressly accepts or the reimbursement of the sums due.

24. Order cancellation

Any cancellation request must be sent promptly to customer service.

Its processing depends in particular on the standard or personalized nature of the product, the progress of the order, the right of withdrawal possibly applicable and the mandatory provisions applicable to the Customer.

No provision of this article may restrict a legal right of withdrawal or resolution enjoyed by the consumer.

25. Force majeure and exceptional events

YEDART cannot be held responsible for a delay or non-performance resulting from an event legally meeting the conditions of force majeure according to applicable law.

In the event of an event significantly affecting the manufacturing or delivery of an order, YEDART informs the Customer and seeks a solution consistent with its legal obligations.

26. Intellectual property

The YEDART brand as well as the elements of the site, in particular its visual identity, its texts, photographs, videos, graphics, editorial content and other protected elements cannot be reproduced or exploited without the prior authorization of the holder of the rights concerned, except for exceptions provided for by law.

Artisanal creations may also benefit from rights belonging to their authors, craftsmen, creators or other owners.

The purchase of a YEDART product does not confer any commercial reproduction rights over its design, photographs, editorial content or other associated intellectual property elements.

27. Personal data

Personal data collected in connection with the use of the site and orders are processed in accordance with the Privacy Policy YEDART, accessible separately on the site.

RAMO CONSULTING applies the personal data protection obligations that apply to it, in particular with regard to Moroccan legislation and, when the conditions of application are met, the General Data Protection Regulation of the European Union.

Detailed terms concerning the purposes, legal bases, recipients, retention periods, transfers and rights of individuals appear in the Privacy Policy.

28. Customer service and complaints

For any questions, requests or complaints relating to an order, the Customer can contact YEDART customer service at sav@yedart.com.

YEDART favors the search for an amicable solution when a dispute arises.

Customer service: sav@yedart.com.

29. Liability

YEDART LLC is responsible to the Customer for the execution of the obligations incumbent on him as seller under the conditions provided for by applicable law.

No provision of these General Terms and Conditions shall exclude or limit any liability or right of the consumer when such exclusion or limitation is prohibited by a mandatory rule.

30. Governing law

These General Terms and Conditions are governed by Moroccan law.

However, this choice cannot have the effect of depriving a consumer of the mandatory protection provisions from which he benefits under legislation applicable to him and from which the parties cannot contractually derogate.

For European Union consumers falling within the scope of European conflict of laws rules, the choice of a foreign law cannot in particular have the effect of depriving them of the mandatory protections to which they would otherwise be entitled under the conditions provided for by the applicable rules.

31. Jurisdiction and dispute resolution

In the event of a dispute, YEDART and the Customer are invited to first seek an amicable solution.

In the absence of an amicable agreement, the dispute will be brought before the competent courts determined in accordance with the applicable rules.

No clause in these General Terms and Conditions requires the consumer to renounce a jurisdiction whose jurisdiction would be guaranteed to him by a mandatory provision.

32. Amendment of the GTCS

YEDART LLC may modify these General Terms and Conditions to take into account in particular a change in its activity, its procedures or regulations.

The version applicable to an order is the one made available and accepted by the Customer at the time of this order.

Subsequent changes do not apply retroactively to an order already concluded, unless otherwise provided by law.

33. Retention and evidence

YEDART keeps the elements allowing the order to be identified, the version of the General Terms and Conditions accepted and the electronic confirmations issued, according to the durations and terms provided for by the applicable regulations.

Electronic exchanges and information recorded in YEDART systems can help to establish the elements relating to the order, without prejudice to the legal rules applicable to proof.

34. Severability

If a provision of these General Terms and Conditions were to be declared void, inapplicable or abusive, the other provisions would remain applicable to the extent that the contract can subsist without the provision concerned.

35. Final acceptance

Before making payment, the Customer confirms having been able to consult these General Conditions of Sale.
